Specific Requirements of a Public Limited Company

A public limited company (PLC) has unique requirements for incorporation and trading that exceed those of a private company:

A Minimum of Two Directors: Unlike a private company that requires only one director, a PLC must have at least two directors.
A Qualified Company Secretary: Due to corporate governance standards, a suitably qualified company secretary must be appointed at incorporation, such as a chartered secretary, chartered accountant, or solicitor.
Share Capital: A PLC requires a minimum nominal share capital of £50,000 at incorporation. At least 25% of the nominal value of allotted shares must be paid up, amounting to a minimum of £12,500.
Trading Certificate: A trading certificate must be obtained from Companies House before a PLC can commence trading. This certificate confirms that at least a quarter of the nominal value of allotted shares has been paid up.
