A dormant company is one that is either newly formed and has not yet started trading, or an existing company that has not conducted any trading activities during the current financial year. This means it has had ‘no significant accounting transactions’ within that financial period.
Companies with dormant status are required to file a simplified form of accounts with Companies House, known as dormant company accounts. These simplified accounts offer a significant advantage by reducing the statutory burden, as they do not require the filing of profit and loss accounts or a director’s report.
This service is available to limited companies with dormant status, regardless of whether the company was formed through Rocket Formations’ website.
If you formed your company through our website, we only need your company name and number, as well as information on whether your shares are paid or unpaid (i.e., whether shareholders have paid for the shares issued to them).
If your company was formed elsewhere, we will need your company name and number, the webfiling authentication code, details on whether shares are paid or unpaid, and the name of one director.
A company can be classified as dormant if it has had no significant accounting transactions during the financial year. However, if it has settled invoices, paid bank charges or interest, compensated employees, or distributed dividends to shareholders, it will lose its dormant status, as these are considered significant transactions.
Exceptions to this rule include payments for shares issued at the time of incorporation, late filing penalties, and fees paid to Companies House.
Accounts must be filed with Companies House at least once every 12 months.
